ABU DHABI, UAE, Aug. 31, 2026 /PRNewswire/ -- ePointZero, a global platform focused on specialized energy infrastructure and a subsidiary of 2PointZero Group, will acquire a 90% stake in Azura Power Holdings Limited ("Azura Power"), an established pan-African independent power producer (IPP).
Azura Power has over 750MW of operating capacity and a growth pipeline of over 1.5GW which could more than double the platform's operational capacity in the coming years. It operates critical power generation assets across Nigeria, Senegal and Mozambique, where it generates around 10% of each country's grid baseload power.
Under the transaction terms, ePointZero has partnered with Amaya Capital to establish an acquisition vehicle, through which ePointZero will acquire the respective ownership stakes of Actis and Africa50. Amaya Capital, Azura Power's founding partner, will retain a minority interest of 10%, underscoring its continued confidence in the future growth of the platform it founded in 2010. Completion of the transaction is subject to customary regulatory approvals and closing conditions.
Commenting on the transaction, HH Sheikh Zayed bin Hamdan bin Zayed Al Nahyan, Chairman of 2PointZero, said: "Reliable power is fundamental to economic growth, industrial development and long-term prosperity. This investment through ePointZero reflects our commitment to deploying long-term capital into critical infrastructure that can support that growth in key markets across Africa."
H.E. Mariam Almheiri, Vice Chair & Managing Director, 2PointZero, said: "At 2PointZero, we are building platforms that create long-term value by investing in the infrastructure shaping tomorrow's economies. As ePointZero continues to expand its global energy platform, the acquisition of Azura Power strengthens our presence in a region where energy demand, economic growth, and long-term opportunity are closely aligned. It reflects our disciplined approach to investing in businesses with strong fundamentals, local expertise, and long-term value."
Mohamed Hesham, CEO of ePointZero, said: "Azura Power brings together many of the qualities we look for in an energy platform: critical operating assets, an experienced management team and a strong position in markets with significant long-term power needs. We are acquiring a business built on nearly a decade of disciplined execution, with significant opportunity to support its continued growth as demand for reliable power infrastructure across the continent accelerates. Together with our strategic investment in Elsewedy Electric and its established industrial and EPC presence across Africa, our acquisition of Azura Power deepens ePointZero's capabilities in energy and infrastructure and positions us to pursue new opportunities across Africa's evolving energy markets."
Dave Peacock, Group CEO, Azura Power, commented: "This transaction is a significant milestone for Azura. We are proud of what our teams have built over the past ten years and the confidence shown by ePointZero is a strong endorsement of that achievement. I would like to thank our shareholders for their trust, partnership and support throughout that journey. With ePointZero now joining Amaya, Azura is well positioned to build on its strong foundations, broaden its opportunity set and accelerate its growth across Africa's energy sector."
Africa's power market is entering a period of sustained investment as population growth, urbanization and industrial development drive demand for new generation capacity. Electricity demand across the African region is expected to nearly double by 2040. Yet, electricity access across Sub-Saharan Africa remains at roughly 55% according to the World Bank, underscoring both the scale of infrastructure needs and the opportunity for long-term private capital.
Azura Power has made a steady contribution to flexible, dispatchable and sustainable power generation in Nigeria, Senegal and Mozambique as demand for reliable electricity continues to grow. It will continue to pair infrastructure investment with Power to Change - its social-impact program, supporting livelihoods and economic opportunity in the communities where it operates. Azura Power's development pipeline includes expansions at existing sites as well as additional gas and renewable projects already in progress. Alongside long-standing relationships and alignment with national utilities and governments, Azura Power's projects have also enjoyed financing and support from a range of the world's leading development finance institutions, including the World Bank, BII, DEG, DFC, FMO, IFC, MIGA and Proparco.
